how to convert ascii .dat files to .xml using Matlab

I have a set of ascii files with the extension .dat and I need to convert them into a set of .xml files.

Is there anyway to do this with Matlab.

It depends, Adnane. Are you able to import the DAT files already and convert the contents to a useful structure? Did you ask Google for "Matlab xml" already and searched in the docs and the FileExchange pages?
